By engaging Exhibitway Logistics LLC or using any of its services, you (“Customer”) agree to be bound by the following Terms and Conditions. If you do not agree, do not use Exhibitway’s services.
Exhibitway Logistics LLC (“Exhibitway”) is a duly licensed freight broker. Insertion of Exhibitway’s name as the carrier on any bill of lading or shipping document is for Customer’s convenience only and does not alter Exhibitway’s role as a property broker or the carrier’s role as a motor carrier.
Exhibitway acts as Customer’s agent to arrange transportation and logistics services. These services may include arranging carriers, warehousemen, and transportation intermediaries; preparing and processing shipping documentation, delivery orders, and bills of lading; booking cargo space; providing crating, packing, unpacking, and warehousing; arranging cargo insurance; and facilitating customs brokerage. Customer warrants that it is the owner of the goods or is duly authorized to act on behalf of the owner, and has full authority to engage Exhibitway under these terms.
Exhibitway is not a carrier. It will use its best efforts to engage responsible carriers, warehousemen, and intermediaries on Customer’s behalf. The terms of those carriers’ and warehousemen’s contracts will apply to Customer as if Customer had entered into them directly. Where Exhibitway provides warehouse services, ocean carriage asan NVOCC, air carriage as an Indirect Air Carrier, or LTL shipments as a licensed freight broker, Exhibitway’s own bill of lading or warehouse receipt terms will govern.
Customer shall comply with all applicable laws and regulations of any country through which its goods travel, ensure goods are properly marked, addressed, and packaged, and provide Exhibitway with all information necessary for legal compliance. Customer consents to inspection of any tendered cargo.
1. LIABILITY
(a) Standard Liability Limits
Exhibitway is not liable for loss, damage, or delay caused by a carrier or warehouseman. Liability for domestic air, truck, and warehouse shipments is limited to $0.50 per pound or $40 per article, whichever is less. Liability for international air is limited to 19 Special Drawing Rights per kilogram per applicable international conventions. Liability for ocean carriage is limited to $500 per package or customary freight unit.
(b) Exclusions
Exhibitway is not liable for loss, damage, or delay arising from acts of God, weather, public authorities, strikes, labor disputes, mechanical failures, civil commotion, terrorism, acts of war, customs actions, or defects inherent in the goods. Exhibitway is not liable for punitive, incidental, or consequential damages of any kind, including lost income, lost profits, or loss of market.
(c) Cargo Insurance
Service fees do not include cargoinsurance. Insurance is only procured when Customer specifically requests it,declares the actual replacement value of the goods in writing prior toshipment, and pays the applicable insurance fee. Failure to satisfy allconditions results in no coverage. When insurance is procured, coverage appliesto physical loss or damage, subject to a deductible of 5% of shipment valuewith a minimum of $750 and maximum of $2,500. For shipments above $100,000,Exhibitway reserves the right to adjust the deductible and will advise Customer. Exhibitway holds a lien on any insurance proceeds equal to all unpaidinvoices.
(d) Notice of Loss, Damage, or Delay
Customer must inspect all shipments upon delivery. Written notice of loss or damage is required within 10 days of delivery for air and ground shipments, and within 10 days for ocean shipments (with initial notice within 3 days). Written notice of delay is required within 5 days of Customer’s anticipated delivery date. Oral notice must be confirmed in writing. Failure to provide timely written notice releases Exhibitway from all liability for that claim.
(e) Claims Require Paid Invoices
Exhibitway has no obligation to consider or assist with any claim if Customer has outstanding unpaid invoices related to the shipment in question.
(f) One-Year Limitation Period
Any suit against Exhibitway must be commenced within one year from the date services were completed or the scheduled delivery date in cases of delay or non-delivery.
2. CUSTOMER WARRANTIES
Customer warrants that it will not tender explosives, destructive devices, or hazardous materials to Exhibitway. Customer warrants compliance with Exhibitway’s Supply Chain Security Recommendations as posted on shipexhibitway.com/supply-chain-security. Exhibitway may inspect any shipment by any means and may reject and return non-compliant shipments at Customer’s expense. Customer agrees to indemnify and hold Exhibitway harmless from any loss, damage, claim, or legal action arising from breach of these warranties.
3.PAYMENT AND CREDIT
(a) Payment Guarantee
Customer guarantees full payment for all services arranged or performed by Exhibitway on Customer’s behalf. Customer, consignee, and any holder or assignee of a bill of lading are jointly and severally liable for all unpaid charges.
(b) Credit Terms
Customer agrees to a credit evaluation by Exhibitway or a designated third party. Customers approved by Exhibitway’s factoring company or with a strong payment history will receive Net 30 terms. Customers not approved or with a poor payment history will be required to place a valid credit card on file and adhere to Net 10 terms. Exhibitway reserves the right to revise payment terms at any time.
(c) Late Payments
Any invoice past its due date wil lincur a 5% late fee. Continued late payments may result in a change to prepayment terms. If a credit card is on file, Exhibitway is authorized to charge unpaid balances 10 days after the invoice due date. If a transaction is declined, Exhibitway may process the outstanding balance in multiple increments.
(d) Foreign Exchange
Fee estimates in foreign currency arebased on exchange rates in effect at the time of estimate. Final invoicedamounts reflect the rate at the time of invoicing. Customer bears all currencyfluctuation risk.
(e) Lien on Goods
Exhibitway holds a lien on any goods shipped under these Terms for unpaid fees on current or prior shipments, regardless of credit arrangements. This lien survives delivery and remains in effect until all charges are paid in full.
(f) Attorney’s Fees
Customer agrees to pay all reasonable attorney’s fees, court costs, and third-party collection expenses incurred by Exhibitway in collecting unpaid amounts.
(g) Duties and Taxes
Customer is solely responsible for all sales taxes, use taxes, excise taxes, customs duties, and government-imposed assessments on its goods. Customer shall indemnify and hold Exhibitway harmless from any government assessment or liability related to Customer’s goods.
4. POWER OF ATTORNEY — EXPORT SHIPMENTS
By tendering export shipments to Exhibitway, Customer grants Exhibitway authority to act as its authorized agent for export control, U.S. Census Bureau reporting, and U.S. Customs and Border Protection purposes. This includes preparing and transmitting Electronic Export Information and all related export documentation required by any U.S. government agency. Customer certifies that all information provided to Exhibitway for export purposes is true, correct, and complete, and indemnifies Exhibitway against any government action arising from Customer’s export compliance breaches. This authority remains in effect until Exhibitway receives written revocation.
5. TERM AND GOVERNING LAW
(a) Term
These Terms are effective upon Customer’s first use of Exhibitway’s services and remain in effect until either party provides 30 days’ written notice of termination. Exhibitway may discontinue service immediately upon Customer’s failure to pay. Sections 1, 2,and 5 survive termination.
(b) Changes to Terms
These Terms are subject to change at any time. The version posted on exhibitway.com on the date of each shipment governs that shipment. Continued use of Exhibitway’s services constitutes acceptance of the then-current Terms.
(c) Governing Law and Forum
These Terms are governed by the laws of the State of Illinois, to the extent not governed by applicable federal law. Any dispute arising from these Terms shall be resolved exclusively in Chicago, Illinois.

6. ACCEPTANCE
By engaging Exhibitway Logistics LLC, requesting a quote, tendering a shipment, or using any Exhibitway service, Customer acknowledges that it has read and understood these Terms and Conditions and agrees to be bound by them. No signature is required for these Terms to be enforceable. Use of services constitutes full acceptance.
